By EnergyCortex

By Client

• Compliance with early termination provisions
• Settlement of outstanding obligations

Limitation of Liability

EXCEPT FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, ENERGYCORTEX’S LIABILITY IS LIMITED TO:

• Direct damages only (no consequential or indirect damages)
• Maximum liability equal to 12 months of service fees
• No liability for grid outages or utility-related issues
• No liability for force majeure events

Force Majeure

Neither party is liable for delays or failures due to:

• Natural disasters or extreme weather
• Government actions or regulatory changes
• Grid failures or utility issues
• Labor disputes or supply chain disruptions
• Other events beyond reasonable control

Regulatory Compliance

Both parties must comply with:

• Local and national energy regulations
• Environmental and safety standards
• Grid connection requirements
• Data protection and privacy laws
• Import/export regulations for equipment

Dispute Resolution

Negotiation

Disputes should first be addressed through direct negotiation between designated representatives.

Mediation

Unresolved disputes may be submitted to mediation through recognized energy industry mediators.

Arbitration

If mediation fails, disputes will be resolved through binding arbitration under the rules of the relevant national arbitration body.

Governing Law

These Terms are governed by:

• The laws of Hungary for Hungarian operations
• The laws of the respective country for other Eastern European operations
• EU regulations and directives where applicable
• International energy and commercial law principles

Changes to Terms
